Additional Terms

HERE Location Services - Transaction Based

Excluded Use Cases:

The following use cases are excluded from the Transaction Plan for Evergreen and Fixed Subscriptions created after April 7, 2023.  Please see our other pricing plans if you are interested in these use cases.   

“Asset Management,” meaning, in relation to an Asset, the provision of any one or all of the following (i) locating, tracking and/or displaying on a map; (ii) provision of route calculations; and (iii) deriving of analytics; and (iv) alerts that inform drivers of potential hazards on the road such as incoming pedestrians, vehicle braking, dynamic hazards or potholes "Safety Enhancement Alerts"; 

“Usage Based Insurance (UBI)/Telematics,” meaning, in relation to an Asset, the analysis of post trip driving information which excludes, in particular but not limited to, real-time tracking and providing real-time alerts or feedback loop to the Asset; and   

“Optimization,” meaning Asset Management and, in relation to one or more Assets, utilizing software or application(s) to calculate the order of destinations and or routes. 

“Asset” means, individually, a person (including the user of your application), an animal, a device, a piece of cargo, a means of transportation, a vehicle or any other object actively managed using HERE’s service.

 

Fees:

Without Commitment Discount:

Fees are charged per Transaction per month, as defined in the subscription. Transactions are defined here. The rate for each volume tier only applies to the Transactions within that volume tier. The rate for the next volume tier only applies to the Transactions exceeding the previous volume tier.

With Commitment Discount:

Applies when, at the start of the subscription term, you commit to a volume of Transactions for each month of the first year of the subscription. The committed number of Transactions billed each month can be increased but not decreased during each month of the subscription term. Increased commitments will be applied in next month’s invoice. Each month, the customer is billed for the number of Transactions that they committed to, accounting for each price and volume tier in the subscription and any additional Transactions that were generated. Additional Transactions are charged at the price for the volume tier corresponding to the Transaction commitment that customer selected.

 

Prior to the start of a new subscription term year, you may decrease or increase, the monthly commitment for the number of Transactions in your subscription.

 

Subscription Plans and App IDs:

Usage is tracked for each Subscription Plan. A Subscription Plan may have multiple App IDs.

HERE Partners may only use one Subscription Plan for one individual Partner Application.

In cases where Partner’s end customers have direct access to HERE’s services, one Subscription Plan may only be used for one individual Partner end customer. 
 

HERE Location Services - Asset Based

“Asset” means, individually, a person (including the user of your application), an animal, a device, a piece of cargo, a means of transportation, a vehicle or any other object actively managed using HERE’s service. 

The Asset plan is applicable for the following use cases only:

  • Asset Management,” meaning, in relation to an Asset, the provision of any one or all of the following (i) locating, tracking and/or displaying on a map; (ii) provision of route calculations; and (iii) deriving of analytics; and (iv) alerts that inform drivers of potential hazards on the road such as incoming pedestrians, vehicle braking, dynamic hazards or potholes "Safety Enhancement Alerts".
  • Usage Based Insurance (UBI)/Telematics,” meaning, in relation to an Asset, the analysis of post trip driving information which excludes, in particular but not limited to, real-time tracking and providing real-time alerts or feedback loop to the Asset.
  • Optimization,” meaning Asset Management and, in relation to one or more Assets, utilizing software or application(s) to calculate the order of destinations and or routes. 

Fees:

Fees are charged per Asset, as defined in your subscription. Additional fees will be charged for overages as described herein. Prior to the start of the agreement, you must commit to a number of monthly Assets for 1 year in your subscription. This monthly commitment cannot be decreased during the year. You warrant that you do not manage more assets than are reflected in your subscription. 

Monthly Billing:

  • You will be billed for your minimum monthly commitment of Assets in your subscription. If the number of Assets you manage in a particular month exceeds your minimum monthly commitment, you must (A) increase the minimum monthly commitment amount in your subscription (“Option A”) or (B) submit a true up for the additional Assets that exceed the minimum monthly commitment amount (“Option B”).
    • If you choose Option A, such change will take effect at the beginning of the next monthly billing period for the remainder of your then current 12-month period of your subscription, i.e., prior to the start of the next 12-month period of your subscription, you may increase or decrease the minimum monthly commitment for the number of Assets in your subscription.
    • If you choose Option B, you must submit a true up for the additional Assets that exceeded the minimum monthly commitment in a given month.  A true up must be submitted within six (6) months of having exceeded the number of Assets for a particular month. Additional Assets reported through true ups will not permanently increase the monthly minimum commitment in your subscription. 

Annual Billing:

  • The number of Assets in the subscription cannot be changed during the year. Changes to the number of Assets in an annual subscription will take effect at the start of the next 12 month period of your subscription.
  • True up are not available for annual billing subscriptions.  

 

Overages: 

Transaction limits that can be generated by each unique Asset in a given month and fees per Transaction that exceed the limit are defined in Table 1. Transactions are defined here. The overage fees are calculated and billed monthly, regardless of whether you opted to be billed up-front annually or monthly for your per Asset fees. If you utilize HERE location services that are not included in your Asset subscription (see Table 1), you will be charged the rates in the Base Plan. There is a limit on the amount of Data IO that can be consumed per Asset per month utilizing the Navigate SDK (see Table 1).   

Note: For monthly billing, if a true up is submitted during the same month in which you exceed the minimum monthly commitment of Assets in your subscription, the transaction limit will be increased by the number of additional Assets for that month.  If a true up is submitted after the month in which you exceeded the minimum monthly commitment, the transaction limit will remain the same based on your minimum monthly commitment and no increase of transactions will be taken into account.

 

Subscription Plans and App IDs:

HERE Location Services - Permanent Geocoding

You are permitted to store Results from the use of the Batch Geocoder after purchasing the Permanent Geocoding Add-on and use them for internal use only. You cannot sublicense, resell or distribute stored Results arising from the use of the Permanent Geocoding Add-on. You cannot scale a single result from the Permanent Geocoding Add-on to multiple end users.

Fees:

Without Commitment Discount:

Fees are charged per Transaction per month for the use of Batch Geocoder, as defined in the subscription. Transactions are defined here. The rate for each volume tier only applies to the Transactions within that volume tier. The rate for the next volume tier only applies to the Transactions exceeding the previous volume tier.

 

With Commitment Discount:

Applies when, at the start of the subscription term, you commit to a volume of Transactions for each month of the first year of the subscription. Term:

Results can be stored for the duration of the platform Terms and must be destroyed upon termination of the agreement.

In cases where Partner’s end customers have direct access to HERE’s services, one Subscription Plan may only be used for one individual Partner end customer.

HERE Location Services - Monthly Active User based

''Monthly Active User'' or ''MAU'' means a unique device that calls HERE APIs through HERE SDK or uses the HERE SDK within a calendar month, as determined by HERE records.

Fees:

Without Commitment Discount:

Fees are charged per Monthly Active User, as defined in your subscription. Additional fees will be charged for overages as described herein. The fee for each volume tier only applies to the Monthly Active Users within that volume tier. The fee for the next volume tier only applies to those Monthly Active Users exceeding the Monthly Active Users in the previous volume tier.

 

Transaction limits for each Monthly Active User in a given month and fees per Transaction that exceed the limit are defined in Table 2. Transactions is defined here. The overage fees are calculated and billed monthly. If you utilize HERE Location Services that are not included in your subscription (see Table 2), you will be charged the rates in the Base Plan. There is a limit on the amount of Data IO that can be consumed per Monthly Active User per month utilizing the Navigate SDK (see Table 2).

 

With Commitment Discount:

Applies when, at the start of the subscription term, you commit to a volume of MAUs for each month of the first year of the subscription. The number of committed MAUs billed each month can be increased but not decreased during each month of the subscription term. Increased commitments will be applied in next month’s invoice. Each month, customer is billed for the number of MAUs that they committed to, accounting for each price and volume tier in the subscription and any additional MAUs that were generated. Additional MAUs are charged at the price for the volume tier corresponding to the MAU commitment that customer selected.

 

Prior to the start of a new subscription term year, you may decrease or increase the monthly commitment for the number of MAUs in your subscription.

HERE Partners may only use one Subscription Plan for one individual Partner Application.

In cases where Partner’s end customers have direct access to HERE’s services, one Subscription Plan may only be used for one individual Partner end customer.

HERE Support

The Support Plans and Onboarding Services are described at https://www.here.com/pricing/support-plans. HERE may use subcontractors for providing Support Plans and Onboarding Services.

Support Plans

Fees:

You will be billed fees for your respective Support Plan amounting to the greater of the (i) Monthly Minimum Fee and (ii) Monthly Variable Fee. The Monthly Variable Fee is calculated on the fees invoiced for the subscription that the Support Plan is attached to. Support fees for the current month are calculated on the preceding month's invoice and billed in the preceding month.

 

Onboarding Services

Fees:

You will be invoiced the applicable onboarding fees upon your acceptance of the Onboarding Services, and the associated Onboarding Services support will commence upon such acceptance and mobilization by HERE. Services and deliverables provided to you under the Onboarding Services shall be deemed to be HERE Materials as referred to in the following Sections of the HERE Platform Terms: “Intellectual Property Rights”, “Warranties; Exclusion of Warranties”, “Limitation of Liability”. The Onboarding Services shall be deemed accepted by you at the end of the delivery period. Where a delay results in the Onboarding Services not being completed during the delivery period is caused by: (i) HERE, the delivery period shall be extended to allow HERE to complete the onboarding and any in progress deliverables, (ii) You, HERE will have no obligation to provide further support. You are responsible for determining whether to use or refrain from using any recommendation made by HERE, including whether the guidance from HERE meets your requirements and/or internal guidelines. HERE will not provide support services for derivatives or modifications of such HERE Materials.

 

Discount Subscription

A discount may be applied to the fees invoiced for your Subscriptions. The discount may be conditional on a minimum annual license fee “MALF” payment, as defined in the Discount Subscription. The MALF and discount defined in the Discount Subscription applies for each year of the Discount Subscription term. Unless otherwise agreed between you and HERE, the MALF must be paid in full at the start of each Discount Subscription year. The MALF payment is credited towards the license fees owed for your Subscriptions over the following twelve (12) months. 

If either Party does not provide written notice (including email) of termination to the other Party at least one (1) month before the end of the term in effect (i.e., current term), the discount subscription will renew for twelve (12) months with the same MALF and discount, if applicable.

There may be additional conditions for Partners outlined in your Partner Portal, if applicable.
